  • Company formation

  • In-corporation of a limited company
    A limited company incorporated in Hong Kong (HK) requires at least one director and one shareholder, a resident company secretary and a HK registered office. However, none of the directors nor shareholders are required to be HK residents. Our Secretarial Company may provide the services of HK resident company secretary and registered office. The usual steps for forming a company are:

    1. Upon request, a client shall fill in and submit to us the "information for formation of company", providing the details of proposed company name, shareholders, directors, secretary and registered office. Then we shall check and confirm if it is registrable.
    2. We shall prepare all the documents for incorporating a company, including Articles of Association, incorporation form and application for business registration certificate.
    3. The client will come and sign all the documents.
    4. We shall arrange the filing of the documents to the Companies Registry and Business Registration Office.
    5. After obtaining the business registration certificate from the Inland Revenue Department, the documents (including chops and certified true copies) will be sent to the client, and then the company can be used.
    6. Upon request, we also assist our clients to open company bank accounts with the major banks in HK. e.g. HSBC, Hang Seng Bank and Standard Chartered Bank etc.

  • Annual Return

    An annual return for reporting the details of directors, shareholders, registered address, etc. is required to be submitted to the Companies Registry within 42 days from the anniversary date of incorporation every year. This return is not for reporting financial statement nor taxes, and is usually prepared by a company secretary.
