  • Preparation & filing of Profits tax returns and Employer's returns

  • Profits Tax Return
    A HK company is required to submit a profits tax return and audited financial statements to the Inland Revenue Department every year. Its first financial year end date can be fixed at any date within 18 months from the date of incorporation and the same financial year end date needs to be followed in subsequent years. The first profits tax return normally will be issued at 18 months from the incorporation date and then subsequent profits tax returns will be issued in April every year. The commonly used year end dates in HK are 31 March and 31 December. The deadline for submitting a profits tax return depends on the year end date chosen, but in general a company is allowed for several months to prepare its return and audit after its financial year end date.

    Employer's Return
    The Inland Revenue Department will issue an employer's return to a company for reporting salaries paid to staff subject to HK taxes in April every year. The return is required to be completed and filed to the Department within one month from the date of issue whether there are such salaries paid or not.

  • Offshore Income
    A HK company is not subject to HK taxes if its operations are carried outside HK. In determining whether a HK company's operations are carried outside HK, all the company's operations (e.g. communications, place of orders and place of signing contracts with customer/ supplier) will be considered. A HK trading company, even with a bank account in HK, is not subject to HK taxes if it satisfies the following:

    1. Has a real overseas office/ place of work.
    2. Has no office in HK but registered office address e.g. at our office.
    3. No staff working in HK.
    4. Contracts concluded with customer/ supplier outside HK.
    5. No inspection of goods is carried out in HK.
    6. No actual shipment pass through HK or transshipment has been arranged.
